1 October 2020: Smart building materials company ClearVue Technologies Limited (ASX:CPV) (“ClearVue” or “the Company”) is pleased to announce that it has received its first order for projects in Brazil from AMB Brasil Comercio E Servicos Eireli (AMB Brasil) who have been appointed exclusive ClearVue distributor in Sao Paulo, Brazil.

AMB Brasil’s first order is for 500 square metres of ClearVue IGU products (equivalent to approximately USD $200,000). The 500 sqm order represents ClearVue’s largest order to date and demonstrates proof of product-market fit for ClearVue's technology.

ClearVue will have the product manufactured through its OEM manufacturers in China and will ship the product in early 2021 for ultimate installation into a number of projects being undertaken by AMB Brasil in central Sao Paulo, Brazil.

The first such project is for a commercial office tower known as ‘Imperiale’. The architectural study for this project commenced in July 2020 with project commencement anticipated for June of 2021. AMB Brasil forecasts that this project will use approximately 250 sqm of ClearVue’s PV IGUs.

A second project will use approximately 100 sqm of the IGU products in a retrofit project located in central Sao Paulo for AMB Brasil’s own offices with such project anticipated to commence in January 2021. 

The project for AMB Brasil’s offices will serve as a reference and testing site for AMB Brasil to assist it in its sales efforts and will be the first project in South America for the ClearVue products. 

AMB Brasil is in discussions with Volvo and hopes to use the power generated from this site to operate a recharging station for use with Volvo’s 100% electric or hybrid vehicles at the base of the building.

The balance of the ordered products will be used in AMB Brasil’s other planned projects.

AMB Brasil is a part of Grupo AMB Brasil Holdings which comprises a group of complementary companies including in the areas of finance and property development. AMB Holdings is its real estate asset and property development business involved in the development of logistics parks, self-storage facilities, industrial use properties, corporate office buildings and retail buildings including via sale and lease back arrangements, financing and utilizing securitisation mechanisms. Additionally, AMB Holdings is involved in the development of residential condominiums and buildings.  

AMB Brasil is also seeking to include ClearVue’s solar PV IGU’s into at least two further large-scale commercial projects in the near to medium term. One of these projects comprises six (6) thirty-five (35) story residential towers and four (4) thirty-five story commercial towers (including one tower integrating a cinema complex and another integrating a hotel) as well as an attached shopping mall.  The Company will update the market on these projects when more information becomes known.

Under the terms of the Distribution Agreement made between ClearVue and AMB Brasil, AMB Brasil has been appointed the exclusive distributor for ClearVue in the State of Sao Paulo in Brazil. In addition, AMB Brazil will act as a non-exclusive distributor for the other states of Brazil until ClearVue appoints any distributor for other Brazilian states. Refer to the Annexure attached, for a summary of key terms of the Distribution Agreement.

The appointment of AMB Brasil as a ClearVue distributor adds to ClearVue’s growing list of global distributors and manufacturers for the ClearVue products and technology and is the first such appointment made in the South American region.

Summary of Key Terms of Distribution Licence Agreement

The Distribution Licence Agreement is made between ClearVue Technologies Limited and AMB Brasil Comercio E Servicos Eireli (AMB Brasil) on 30 September 2020.

Under the terms of the Agreement, AMB Brasil is appointed the exclusive distributor for ClearVue in the State of Sao Paulo in Brazil.

Further, AMB Brazil will be non-exclusive distributor for the other states of Brazil until such time as ClearVue appoints another distributor(s) for other Brazilian states.

Key terms of the Distribution Licence Agreement include (amongst other things) that:

-          AMB Brasil is appointed the exclusive licensee to distribute the ClearVue products and technology in the State of Sao Paulo, Brazil and the non-exclusive distributor in the other states of Brazil;

-          Exclusivity is subject to compliance with agreed performance criteria related to numbers of IGUs being purchased each year from ClearVue and compliance with the Agreement generally;

-          Year 1 performance criteria includes requiring AMB Brasil to place an order on ClearVue within 30 days of execution for at least 500sqm of ClearVue PV IGU products (equivalent to approximately USD $200,000) for use in a project (as detailed earlier). A partial deposit is to be received for this order within 45 days from the date of signing the agreement;

-          The term of the License will be 2 years (with 2 further 5-year extensions, again subject to agreement compliance and meeting the ongoing performance criteria);

-          ClearVue will supply glass IGU’s to AMB Brasil from its licensed OEM manufacturers subject to an agreed pricing schedule based on quantities ordered; 

-          ClearVue retains a carve-out on exclusivity for large projects introduced from outside of the exclusive Territory through large international architecture, engineering and construction groups;

-          Protection and ownership of intellectual property (ownership of improvements made);

-          Confidentiality;

-          Termination in the event of breach following a formal notice process or immediate termination where there is “Material Breach” (defined events throughout the agreement) or there is a “Termination Event” (including an Insolvency Event; a Change of Control event; a breach of warranty or other specified clauses; a Material Breach; or a Force Majeure event); and
